Licence
Standard data licence
The terms every XIM Audio licence starts from, in plain English. Each deal adds a one-page order form with the sets, the use, the term and the fee.
Parties
The licence is between XIM Audio Inc. (corporation no. 1832447-6, 329 Howe Street, #1499, Vancouver, BC V6C 3N2, Canada) and the organisation named in the order form (you).
What you get
The datasets listed in the order form (the Data), delivered with a manifest and a datasheet. The Data is production data: recordings, sessions, stems, MIDI, presets and metadata. Compositions and lyrics are not licensed.
What you may do
Use the Data to train, fine-tune, evaluate and test machine learning models for the use named in the order form. Your employees and contractors may use it for you, under the same terms.
Models and outputs are yours
You own the models you train and everything they produce. They stay yours after the licence ends, and you owe nothing further for them.
What you may not do
Share, sell, publish or release the Data or any part of it, in its original form or in a form from which it can be rebuilt. Try to identify the creators or songs behind the pseudonymous IDs. Use the Data to reproduce or imitate a specific creator's recordings.
Term and renewal
Three years from delivery unless the order form says otherwise. Renewal at 30% of the original fee per year. At the end you delete the Data and copies of it. Models and outputs are not affected.
Exclusivity
Non-exclusive. Exclusive rights to a set or a field of use are available by agreement and are named in the order form.
Takedowns
If a creator withdraws an item or a rights claim is made, we tell you in writing. You stop using that item in new training within 30 days and delete it. Models already trained are not affected.
Security
Keep the Data on systems you control, with access limited to the people who need it. Delivery is by a private, logged link or your own bucket, with one key per deal.
Our promises
We have the right to grant this licence. Every item delivered is covered by its creator's acceptance of terms that authorise machine learning use, or by their written consent. No file was made by a separation model or by AI. Deliveries contain no personal data.
If a claim is made
If a third party claims your licensed use of the Data infringes their rights, we defend it and cover the costs, up to the fees you paid us. You tell us promptly and let us run the defence.
Liability
Apart from that defence, each side's liability is limited to the fees paid under the order form. Neither side is liable for indirect or lost-profit losses.
Payment
Fees in US dollars unless agreed otherwise, invoiced on signature, due in 30 days. Purchase orders accepted. Prices exclude taxes, which are added where they apply.
Research licence
For universities and research labs: non-commercial and internal use. You may publish results and release trained models, with credit to XIM Audio in the paper, model card and repository. The Data itself is never released.
Law
The laws of British Columbia and of Canada apply.
Order form wins
The order form names the Data, the use, the term and the fee. Where it differs from these terms, the order form applies.
